1. INTRODUCTION AND ACCEPTANCE
1.1 About These Terms
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” “your”) and Wretail Ltd (“Company,” “we,” “us,” “our”), the operator of the online marketplace located at wornright.com (“Platform”).
These Terms govern your access to and use of the Platform, including but not limited to browsing, listing items for sale, purchasing items, and any other interaction with our services.
1.2 Acceptance
By accessing, browsing, or using the Platform in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Shipping Policy, Return and Refund Policy, and Privacy Policy (collectively, the “Policies”).
If you do not agree with any provision of these Terms, you must immediately cease using the Platform.
1.3 Updates and Modifications
We reserve the right to modify, update, or replace these Terms at any time and without prior notice. The most current version will always be posted on the Platform with the effective date indicated above.
Your continued use of the Platform following the posting of any changes constitutes your acceptance of such changes. We encourage you to review these Terms periodically.
Continued use of the Platform after any modification constitutes your unconditional acceptance of the modified Terms.
2. THE PLATFORM AND OUR ROLE
2.1 Marketplace Facilitator
Wornright operates as an online marketplace that connects independent sellers with buyers. We are not a party to any transaction between sellers and buyers. We do not own, manufacture, or sell any of the items listed on our Platform.
We act solely as a facilitator, providing the technology infrastructure that enables sellers to list items and buyers to purchase them. The contract of sale is strictly between the seller and the buyer.
2.2 No Agency or Partnership
Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between us and any User. Sellers are independent contractors operating their own businesses and are not agents, employees, or representatives of Wornright.
2.3 Intellectual Property Acknowledgment
All brand names, trademarks, logos, and intellectual property mentioned or displayed on our Platform—including but not limited to Chanel, Hermès, and other luxury brands—remain the exclusive property of their respective owners.
We do not claim ownership of, nor are we affiliated with, any brand whose products are listed on our Platform. Our use of brand names is purely descriptive and for the purpose of accurately representing items listed by sellers.
3. USER REGISTRATION AND ACCOUNTS
3.1 Who Can Use the Platform
To use the Platform, you must:
Be at least 18 years of age
Have the legal capacity to enter into binding contracts
Provide truthful, accurate, and complete information
Not be prohibited by any applicable law from using our services
3.2 Account Creation
Buyers may checkout as guests, though we strongly encourage account creation to facilitate:
Order tracking
Access to order history
Expedited customer support
Notifications regarding your orders and activity
Sellers are required to register for an account. Registration entails providing:
Full legal name or business name
Contact information (email, phone number, address)
Payment details for payout processing
Any additional information we may reasonably request
3.3 Account Integrity and Restrictions
You represent and warrant that all information provided to us is true, accurate, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You are not authorised to maintain or operate more than one account for the purpose of buying, selling, or otherwise using the Platform.
Non-adherence to any provision of this Section 3 shall constitute a material breach of these Terms and may result in immediate account suspension or termination.
3.4 Account Verification
Sellers must undergo verification prior to receiving any payouts. Verification may include:
Identity verification
Business registration verification
Address confirmation
Payment method validation
Any additional checks we deem necessary
4. SELLER OBLIGATIONS AND RESPONSIBILITIES
4.1 Listing Accuracy
Sellers are required to describe items with the utmost accuracy, clearly stating any and all defects, imperfections, or discrepancies from the item’s original condition.
Items must be categorised accurately as:

4.2 Image Requirements
Sellers are required to provide at least one main image of each listed item. Additional images are at the seller’s discretion.
Buyers acknowledge and agree that they cannot request further images, particularly for items listed as New or Like New. The main image shall be deemed sufficient representation unless the seller voluntarily provides additional images.
4.3 Authenticity Guarantee
Sellers expressly guarantee the authenticity of all items listed on the Platform.
By listing an item, sellers represent, warrant, and covenant that:
The item is genuine and not counterfeit
The item is not stolen or otherwise illegally obtained
The seller has lawful title and the right to sell the item
All descriptions and images accurately represent the item
4.4 Consequences of Inauthenticity
Where a seller submits an item that fails our authenticity verification, or is otherwise determined to be counterfeit, the seller shall:
Bear a penalty fee of 5% of the item’s sale price
Pay for return shipping of the item
Have their account suspended or terminated
Be subject to legal action for any losses suffered by the buyer or the Platform
We take authenticity very seriously. Any breach of this Section 4.3 shall be treated as a material and fundamental breach of these Terms.
4.5 Seller Licensing and Royalties
By listing an item on our Platform, sellers grant us a non-exclusive, royalty-free, perpetual, irrevocable, and worldwide license to:
Use, reproduce, modify, and display listing images and descriptions
Use listing content for marketing and promotional purposes
Sub-license the foregoing rights to our affiliates and partners
This license shall subsist for the duration of the listing and thereafter for archival and promotional purposes.
5. BUYER OBLIGATIONS AND RESPONSIBILITIES
5.1 Payment Commitment
By checking out and receiving an order number, the buyer enters into a binding agreement to complete payment for the item(s) purchased.
The buyer is bound to complete payment once they have been provided with an order confirmation number.
5.2 Information Accuracy
Buyers are required to submit true, valid, and up-to-date information, including but not limited to:
Billing and shipping addresses
Contact information
Payment details
Any other information we may reasonably require
Providing false, inaccurate, or outdated information shall constitute a breach of these Terms and may result in account suspension or termination.
5.3 No Multiple Accounts
Buyers are not authorised to operate more than one account for the purpose of purchasing, tracking orders, or otherwise using our services.
5.4 Consequences of Breach
Non-adherence to any provision of this Section 5 shall constitute a material breach and may result in immediate account suspension or termination, with or without prior notice.
6. FEES, COMMISSIONS, AND PAYMENTS
6.1 Seller Commission
We charge sellers a variable commission fee on every completed sale. The commission rate ranges from 0% to 20% of the total sale price and is determined based on:
Product category
Seller history and performance
Promotional campaigns
Any other criteria we may reasonably apply
There is no listing fee. Commission fees are deducted automatically at the point of sale.
6.2 Buyer Fees
Buyers do not pay any service fee to use the Platform. The buyer pays only:
The purchase price of the item
Shipping fees (where applicable)
6.3 Payouts to Sellers
Sellers shall be paid via their selected payment method, which may include:
Bank transfer
Credit card
Cryptocurrency
Any other method we may offer from time to time
Payouts are processed within 24 hours of confirmed order completion, subject to:
Successful authenticity verification
Delivery confirmation
Any additional checks we may reasonably require
We reserve the right to delay payouts where further checks are deemed necessary. Such delays may extend beyond 24 hours at our sole discretion.
6.4 Payment Methods
We accept the following payment methods:
Credit Cards (Visa, Mastercard, American Express)
PayPal
Bank Transfer
Cryptocurrency (as and when offered)
Any other methods we deem appropriate to introduce in the future
The availability of payment methods may vary by jurisdiction and is subject to change without prior notice.
7. AUTHENTICITY VERIFICATION PROCESS
7.1 Overview
Wornright offers a live authenticity verification service. Once an item is purchased, the seller ships the item to our designated inspection facility in Belgium. Our authentication experts examine the item to confirm its authenticity.
7.2 Verification Procedure
Upon receipt at our inspection facility:
The item undergoes thorough examination by qualified authenticators
We assess the item against established authenticity criteria
We issue a digital authenticity seal and signed certificate for verified items
We notify both buyer and seller of the verification outcome
7.3 Verification Costs
Shipping to Inspection Facility: The cost of shipping to our Belgian inspection facility is included in the listing price and borne by the buyer as part of the total purchase amount.
Shipping to Buyer: The cost of shipping from our UK dispatch origin to the buyer is paid by the buyer at checkout.
7.4 Failed Verification
If an item fails the authenticity verification:
The buyer shall receive a full refund of the purchase price
The seller shall bear a 5% penalty fee (deducted from any amounts due)
The seller shall pay for return shipping of the item
The seller’s account may be suspended or terminated
We may report the seller to relevant authorities
7.5 Digital Authenticity Certificate
For all items that pass verification, we provide:
A digital authenticity seal
A signed certificate of authenticity
Documentation suitable for warranty claims and potential resale
8. DELIVERY AND FULFILMENT
8.1 Seller to Inspection Facility
The seller is responsible for shipping the item to our inspection facility in Belgium or London within a reasonable timeframe following the sale.
8.2 Platform to Buyer
Following successful verification at our Belgian facility, the item is transferred to our dispatch origin in London, United Kingdom. From there, we arrange delivery to the buyer in accordance with our Shipping Policy.
8.3 Risk and Title
Risk of loss, damage, and title to the item pass to the buyer upon delivery to the shipping carrier at the dispatch origin.
9. REFUNDS AND RETURNS
9.1 Policy Application
All refunds and returns are governed by our Return and Refund Policy, which forms an integral part of these Terms.
9.2 Buyer-Initiated Returns
Buyers may request returns in accordance with the Return and Refund Policy. The return window is 30 Working Days from the date of delivery confirmation.
9.3 Refund Issuance
Refunds shall be issued as follows:

10. DISPUTE RESOLUTION
10.1 Internal Escalation
We endeavour to resolve all disputes amicably and efficiently. If you believe we have not adequately addressed your issue regarding an order, you must:

If unsatisfied, escalate to our appeals process
10.2 Appeals Process
To initiate an appeal, you must email [email protected] within 30 days of the order creation date.
Your appeal must include:

A clear description of the issue
Supporting documentation (screenshots, correspondence, etc.)
The resolution you are seeking
Appeals submitted outside the 30-day window shall be dismissed without consideration.
10.3 Arbitration
Where internal resolution proves unsuccessful, we offer arbitration services conducted in accordance with the rules of the London Court of International Arbitration.
Governing Law: These Terms shall be governed by and construed in accordance with the laws of England and Wales.
Jurisdiction: The courts of London, United Kingdom, shall have exclusive jurisdiction over any disputes arising from these Terms or your use of the Platform.
11. ACCOUNT SUSPENSION AND TERMINATION
11.1 Suspension Without Notice
We reserve the right to suspend any user account without prior notice where:
We have reason to believe fraudulent activity is occurring
We have received reports of policy violations
We are conducting internal investigations
We deem suspension necessary to protect the Platform or other users
Any other reason we deem sufficient in our sole discretion
11.2 Termination Without Notice
We may terminate user accounts for:
Single or multiple repeated violations of these Terms
Submission of counterfeit or inauthentic items
Provision of false or misleading information
Any other conduct we deem unacceptable
Termination may be effected without prior or written notice and shall be effective immediately.
11.3 Effects of Termination
Upon termination:
The user loses access to their account
All pending transactions may be cancelled or frozen
Any funds held may be withheld pending investigation
The user remains liable for any obligations incurred prior to termination
12. LIABILITY AND DISCLAIMERS
12.1 Our Role as Facilitator
We are a marketplace facilitator only. We do not sell, manufacture, or control the items listed on our Platform.
To the fullest extent permitted by law, we disclaim any and all liability for:
The quality, safety, authenticity, or legality of items
Seller misconduct, including fraud, misrepresentation, or non-delivery
Buyer conduct, including non-payment or fraudulent claims
Any issues arising from transactions between users
12.2 Limitation of Liability
In no event shall Wretail Ltd, its directors, employees, or affiliates be liable for:
Indirect, incidental, or consequential damages
Loss of profits or business opportunities
Damage to reputation or goodwill
Any claim exceeding the total transaction value of the specific order in dispute
This limitation applies regardless of the legal theory upon which the claim is based.
12.3 No Warranty
The Platform is provided “AS IS” and “AS AVAILABLE” without any warranties of any kind, express or implied. We do not warrant that:
The Platform will be uninterrupted or error-free
The Platform will be secure or free of viruses
Any information obtained through the Platform will be accurate or reliable
13. DATA PROTECTION AND PRIVACY
13.1 GDPR Compliance
We are fully compliant with the General Data Protection Regulation (GDPR) (EU) 2016/679 and the UK GDPR.
We process personal data in accordance with:

All content on the Platform—excluding user-submitted listings—is the intellectual property of Wretail Ltd and is protected by copyright, trademark, and other intellectual property laws.

The Platform’s design and layout
Our logos and branding
All text, graphics, and images not submitted by users
14.2 User-Submitted Content
Users retain ownership of the content they submit to the Platform, including:
Listing descriptions and images
User profiles
Reviews and feedback
However, by submitting such content, users grant us the license specified in Section 4.5.
14.3 Brand Owners
All brand names and trademarks mentioned on our Platform remain the property of their respective owners. We do not claim any ownership interest in such marks.
15. GENERAL PROVISIONS
15.1 Entire Agreement
These Terms, together with our Shipping Policy, Return and Refund Policy, and Privacy Policy, constitute the entire agreement between you and Wretail Ltd regarding your use of the Platform.
15.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
15.3 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce such provision in the future.
15.4 Assignment
We reserve the right to assign or transfer these Terms and our rights and obligations hereunder to any third party, including in connection with a merger, acquisition, or sale of assets.
Users may not assign or transfer their rights or obligations under these Terms without our prior written consent.
15.5 No Third-Party Rights
These Terms do not confer any rights or benefits on any third party, except as expressly stated.
15.6 Language
These Terms are drafted in the English language. In the event of any translation conflict, the English version shall prevail.
15.7 Survival
Provisions that by their nature should survive termination of these Terms shall so survive, including but not limited to:
